Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mango DMA platform ("Service"), operated at mangosuite.com and its subdomains (signup.mangosuite.com, dashboard.mangosuite.com, chat.mangosuite.com), by Mango Technologies Ltd, a company incorporated in the Dubai International Financial Centre (DIFC) under license CL5222 ("Company", "we", "us", or "our").

By accessing or using the Service, you ("Client", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not use the Service.


1. Description of Service

Mango DMA is an AI-powered digital marketing automation platform that provides:


2. Account Registration and Eligibility

To use the Service, you must:

(a) Be a registered business entity or an authorized representative thereof;

(b) Provide a valid business email address (free email providers such as Gmail, Yahoo, and Outlook are not accepted);

(c) Provide accurate and complete registration information, including company name, website, and contact details;

(d) Maintain the security of your account credentials. You are responsible for all activities that occur under your account.

We reserve the right to refuse registration or terminate accounts that violate these Terms.


3. Subscription Plans and Pricing

The Service is offered on a monthly subscription basis. No annual plans are available at this time.

All plans include video generation (8/16/32 videos per month via Veo 3 depending on plan tier) and 6 channels: Instagram, LinkedIn, Facebook, TikTok, YouTube Shorts, and Blog/CMS.

All prices are in US Dollars and exclude applicable taxes. Pricing is subject to change with 30 days' prior written notice to active subscribers.


4. Payment Terms

(a) Payment processor: All payments are processed exclusively through Stripe. We do not store, process, or have access to your credit card numbers, CVVs, or full card details.

(b) Billing cycle: Subscriptions are billed monthly on the anniversary of your signup date.

(c) Auto-renewal: Your subscription will automatically renew each month unless cancelled in accordance with Section 9 (Cancellation and Termination).

(d) Failed payments: If a payment fails, we will attempt to charge your payment method up to three times over seven days. If payment remains unsuccessful, your account will be suspended until payment is resolved.

(e) No refunds: Subscription fees are non-refundable, except where required by applicable law. Partial-month usage is not prorated upon cancellation.


5. Content Ownership and Intellectual Property

(a) Your content: You retain full ownership of all content generated by the Service on your behalf, including text, images, videos, and analytics reports. Upon delivery, such content is yours to use, modify, distribute, and publish as you see fit.

(b) Your input data: You retain ownership of all data you provide to the Service, including brand bible configuration, business descriptions, and media assets you upload.

(c) Our platform: Mango Technologies Ltd retains all rights, title, and interest in the Service, including its software, AI models, prompt templates, workflow configurations, user interface, documentation, and all related intellectual property. Nothing in these Terms grants you any right to our underlying technology.

(d) Feedback: If you provide suggestions, ideas, or feedback about the Service, we may use such feedback without obligation to you.

(e) Aggregated data: We may use anonymized, aggregated usage data to improve the Service, provided such data does not identify you or your business.


6. AI-Generated Content Disclaimer

IMPORTANT — PLEASE READ CAREFULLY:

(a) All content produced by the Service is generated by artificial intelligence (including Gemini Flash for copy and research, FLUX.2 and Ideogram for images, and Veo 3 for video). AI-generated content may contain inaccuracies, errors, or content that does not fully align with your brand or regulatory requirements.

(b) Client responsibility: You are solely responsible for reviewing, approving, and verifying all content before it is published on your platforms. The human approval workflow (email APPROVE/REJECT) exists specifically for this purpose. By approving content for publication, you accept full responsibility for that content.

(c) No liability for published content: Mango Technologies Ltd is not liable for any claims, damages, losses, or regulatory actions arising from content that you have approved and published, including but not limited to claims of defamation, intellectual property infringement, regulatory non-compliance, or inaccuracy.

(d) Regulated industries: If you operate in a regulated industry (e.g., financial services, healthcare), you are responsible for ensuring that all approved content complies with applicable industry regulations, including but not limited to DFSA, SCA, CBUAE, and other relevant regulatory frameworks.

(e) No guarantees of performance: While the Service uses advanced AI models, we do not guarantee any specific marketing outcomes, engagement rates, follower growth, or business results.


7. Acceptable Use

You agree not to use the Service to:

(a) Generate, publish, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable;

(b) Infringe upon the intellectual property rights of any third party;

(c) Transmit malware, viruses, or any code of a destructive nature;

(d) Attempt to gain unauthorized access to the Service, other accounts, or related systems;

(e) Use the Service for spam, phishing, or other deceptive practices;

(f) Reverse engineer, decompile, or disassemble any part of the Service;

(g) Resell or sublicense access to the Service without our prior written consent;

(h) Generate content that targets or exploits children, or violates UAE Federal Decree-Law No. 26 of 2025 on Child Digital Safety;

(i) Use the Service in any manner that violates applicable laws or regulations, including UAE Federal Law and DIFC regulations.

We reserve the right to suspend or terminate your account for violation of these terms, with or without notice.


8. Service Availability and Uptime

(a) Uptime SLA: We target 99.5% monthly uptime for the Service.

(b) Exclusions: The following are excluded from uptime calculations: scheduled maintenance (with 24 hours' prior notice), force majeure events, third-party service outages (including Meta, LinkedIn, YouTube, Google Cloud, Stripe, and AI API providers), and downtime caused by your actions or equipment.

(c) Service credits: If monthly uptime falls below 99.5% due to causes within our control, you may request a service credit equal to 5% of your monthly subscription fee for each full 1% of downtime below the SLA target, up to a maximum of 25% of your monthly fee. Service credits must be requested within 30 days.

(d) Scheduled maintenance: We perform routine maintenance during low-traffic hours (typically 02:00–06:00 GST). Emergency maintenance may occur at any time with reasonable notice.


9. Cancellation and Termination

(a) Cancellation by you: You may cancel your subscription at any time by providing 30 days' written notice to hello@mangosuite.com. Your access will continue until the end of the current billing period plus the 30-day notice period.

(b) Data export: Upon cancellation, we will make your data available for export in machine-readable format (JSON) within 7 days of your cancellation request.

(c) Data deletion: After you confirm receipt of your exported data (or after 30 days from export availability, whichever comes first), your data will be permanently deleted from our systems within 30 days, except for audit trail records retained for legal compliance (7 years per our retention policy).

(d) Termination by us: We may suspend or terminate your account immediately if you: breach these Terms, fail to pay fees for more than 14 days, or engage in activity that threatens the security or integrity of the Service.

(e) Effect of termination: Upon termination, your right to access the Service ceases immediately. Sections 5, 6, 10, 11, and 12 survive termination.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) No consequential damages: Mango Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, whether arising from contract, tort, or otherwise.

(b) Liability cap: Our total aggregate liability for any and all claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

(c) Third-party services: We are not liable for any interruption, error, or failure caused by third-party services, including Meta (Instagram/Facebook), LinkedIn, TikTok, YouTube, Google Cloud Platform, Stripe, fal.ai, Ideogram, or any other API provider.


11. Indemnification

You agree to indemnify, defend, and hold harmless Mango Technologies Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) Your use of the Service;

(b) Content you have approved and published through the Service;

(c) Your violation of these Terms;

(d) Your violation of any applicable law or regulation;

(e) Any third-party claims related to content published on your behalf with your approval.


12. Governing Law and Dispute Resolution

(a) These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC).

(b) Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days.

(c) If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by the DIFC Courts in Dubai, United Arab Emirates.


13. Data Protection

Your personal data is processed in accordance with our Privacy Policy, available at mangosuite.com/privacy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.


14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted at mangosuite.com/terms with the effective date of the updated Terms. Material changes will be communicated via email to registered account holders at least 30 days before they take effect. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.


15. Miscellaneous

(a) Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mango Technologies Ltd regarding the Service.

(b) Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

(c) Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

(d) Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

(e) Force majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.
